These Terms & Conditions ("Terms", "Agreement" or "Terms of Service") govern access to and use of the VoiceX website, platform, dashboards, APIs, software, telecommunications and communication services, applications, integrations and related services provided by VCSS Technology Pvt. Ltd., operating under the brand VoiceX ("VoiceX", "we", "us" or "our").
By creating an Account, clicking “I Agree”, purchasing a Service, making a payment, starting a trial, accessing or using the Services, you agree to these Terms.
Where you accept these Terms on behalf of a company, LLP, partnership, trust or other organisation, you represent that you have authority to bind that organisation.
A separately signed agreement, Order Form, Enterprise Agreement or Master Services Agreement shall prevail over these Terms to the extent of any conflict.
For these Terms:
"Account" means the Customer's VoiceX account, workspace, tenant, dashboard or portal.
"Authorised User" means a person authorised by Customer to access or use the Services.
"Customer", "you" or "your" means the person or legal entity using or purchasing the Services.
"Customer Data" means data, content, contacts, recordings, messages, audio, documents, workflows, templates, configurations and other information submitted, uploaded, transmitted or processed by Customer through the Services.
"VoiceX Data" means system-generated data including logs, metadata, usage information, billing records, diagnostics, security events and aggregated or de-identified data.
"Services" means the VoiceX products and services made available to Customer, including cloud telephony, virtual numbers, IVR, call routing, call recording, analytics, SMS, WhatsApp integrations, APIs, CRM integrations, automation, AI-enabled functionality, reseller and white-label functionality, and related services.
"Telecom Resources" means telephone numbers, virtual numbers, sender IDs, headers, routes, trunks and other telecommunications resources made available through VoiceX.
"Fees" means subscription, usage, communication, number, messaging, implementation, support and other applicable charges.
"Applicable Law" means all laws, regulations, rules, notifications, directions, orders and regulatory requirements applicable to the Services or Customer's use of them.
You must be legally capable of entering into this Agreement.
You represent and warrant that:
VoiceX may refuse onboarding or restrict Services where reasonably required for KYC, security, fraud prevention, credit or regulatory reasons.
VoiceX provides communication infrastructure and software that may include:
Available functionality depends on Customer's plan, configuration, geography, technical availability and applicable third-party services.
Subject to these Terms and payment of applicable Fees, VoiceX grants Customer a limited, non-exclusive, non-transferable and revocable right to use the Services during the applicable subscription period.
Customer receives no ownership interest in VoiceX software, infrastructure, APIs, technology, trademarks or Telecom Resources.
Customer shall not copy, reproduce, reverse engineer, modify, sublicense, resell or commercially exploit the Services except where expressly permitted under a VoiceX reseller or white-label arrangement.
Customer is responsible for activity conducted through its Account, subject to Applicable Law.
Customer shall:
Customer is responsible for acts and omissions of its Authorised Users, employees, contractors, agents, resellers and downstream users to the extent attributable to Customer's access, control or delegation.
VoiceX may require Customer to provide information reasonably necessary for identity verification, telecom compliance, tax compliance, fraud prevention and security.
This may include:
Customer warrants that all information supplied is genuine, accurate and lawfully obtained.
VoiceX may suspend or refuse Services where required verification is incomplete, inaccurate or unsatisfactory.
Telephone numbers and other Telecom Resources made available through VoiceX are subject to the rights and requirements of telecom operators, regulators and Applicable Law.
Unless expressly agreed in writing, Customer does not acquire ownership of any Telecom Resource.
VoiceX may change, suspend, withdraw or reallocate Telecom Resources where required by:
Upon termination, Customer's right to use VoiceX-provided Telecom Resources ends unless separately agreed in writing.
Unless specifically stated otherwise in writing, the Services are not intended to provide access to emergency services such as police, fire, ambulance or other emergency-response services.
Customer shall maintain appropriate alternative arrangements for emergency communications.
Customer shall comply with all Applicable Law governing communications.
Where applicable, this includes the Telecommunications Act, 2023, applicable Department of Telecommunications requirements, TRAI regulations and directions, TCCCPR requirements, DLT requirements, sender/header requirements, registered-template requirements, customer-preference requirements and other applicable telecom rules.
Customer shall not use VoiceX to circumvent consent, DND, DLT, sender registration, template approval or any other regulatory control.
Customer is solely responsible for ensuring that communications sent through the Services are lawful and appropriately authorised.
Customer is solely responsible for obtaining and maintaining all legally required consent, notice, permission or other lawful basis before:
Customer shall maintain appropriate evidence of required consent and provide such evidence where reasonably required for compliance, investigation or legal purposes.
Customer shall not use the Services for:
Customer shall not use or permit the Services to be used for cyberattacks or malicious activity.
This includes unauthorised:
VoiceX may immediately restrict activity reasonably suspected to involve cybercrime, fraud, compromise, malicious activity or serious security risk.
Customer shall protect all:
Customer shall not publish credentials in repositories, websites, applications or other publicly accessible locations.
Customer shall immediately notify VoiceX upon discovering suspected credential compromise.
Where VoiceX reasonably believes an Account has been compromised or is being used for fraud, cybercrime or unlawful activity, VoiceX may:
VoiceX may act without prior notice where delay could increase security, legal, regulatory or financial risk.
VoiceX may generate and retain technical records relating to use of the Services, including:
Such records may be retained for security, fraud prevention, service operation, regulatory compliance, dispute resolution and legal purposes.
Where a statutory retention period applies, VoiceX may retain information for the required period.
VoiceX may preserve, review or disclose information where required or permitted by:
VoiceX may also take measures necessary to comply with lawful interception, preservation, blocking, monitoring or disclosure requirements.
Where legally permitted, VoiceX may notify Customer of such requests. No notification is required where prohibited by law or where notification could interfere with an investigation, regulatory process or security measure.
Customer shall reasonably cooperate with VoiceX in relation to:
Customer shall provide information reasonably necessary for such purposes within a reasonable period requested by VoiceX.
Customer is responsible for determining whether recording, transcription, AI analysis, sentiment analysis, speaker identification or similar processing is lawful for its intended use.
Customer shall provide all legally required notices and obtain all legally required consents.
AI-generated content, transcriptions, summaries, classifications and other outputs may contain inaccuracies and should be independently reviewed where appropriate.
VoiceX does not provide legal, medical, financial or regulatory advice through AI functionality.
Customer retains ownership of Customer Data.
Customer grants VoiceX a limited right to host, transmit, process, reproduce and otherwise handle Customer Data as reasonably necessary to:
VoiceX Data may be used for service operation, security, analytics and improvement, including aggregated or de-identified analytics.
VoiceX does not acquire ownership of Customer Data merely because it is processed through the Services.
Customer represents that:
Customer shall be responsible for claims, losses or liabilities arising from unlawful Customer Data or Customer's failure to comply with its obligations concerning Customer Data.
VoiceX shall process personal data in accordance with its Privacy Policy and Applicable Law.
Customer shall comply with data-protection requirements applicable to Customer's collection and processing activities, including applicable requirements under the Digital Personal Data Protection Act, 2023 and related rules, when and to the extent applicable.
Where VoiceX processes personal data on Customer's behalf, Customer remains responsible for determining the lawful purpose and basis of such processing and for fulfilling obligations applicable to it as the relevant Controller or Data Fiduciary.
WhatsApp, Meta and other third-party services may impose independent policies, approval requirements, technical limits and enforcement actions.
Customer agrees to comply with all applicable third-party terms and policies when using such services through VoiceX.
Third parties may independently:
VoiceX is not responsible for third-party enforcement actions or failures outside VoiceX's reasonable control.
Customer shall use VoiceX APIs according to applicable documentation, authentication requirements and rate limits.
Customer shall not:
VoiceX may throttle, queue, restrict or block API traffic where reasonably necessary for security, availability, abuse prevention or operational reasons.
Where VoiceX enables reseller, vendor, white-label or multi-tenant functionality, Customer remains responsible for its downstream users to the extent attributable to Customer's access, control or delegation.
Customer shall ensure that downstream users comply with:
VoiceX may suspend an individual downstream account, communication resource or broader reseller environment where reasonably necessary to address security, fraud, abuse or regulatory risk.
Customer agrees to pay Fees according to the applicable plan, invoice, Order Form or commercial agreement.
Fees may include:
Applicable GST and other statutory taxes shall be charged in accordance with Applicable Law.
Where applicable, VoiceX shall issue tax invoices, credit notes, debit notes and other required documents in accordance with applicable tax laws.
Customer shall provide accurate PAN, GSTIN and billing information where required.
Customer shall pay invoices by the applicable due date.
VoiceX may suspend Services where:
Customer remains responsible for Fees incurred before suspension or termination.
Suspension does not waive or cancel amounts already due.
Unless expressly stated otherwise in the applicable commercial plan or written agreement, Fees for Services already provisioned, consumed or incurred are non-refundable to the maximum extent permitted by law.
Where a refund is approved or legally required:
Nothing in this clause excludes any mandatory statutory right.
VoiceX shall use commercially reasonable efforts to operate the Services.
Availability may be affected by:
Unless expressly agreed in a separate SLA, uninterrupted or error-free availability is not guaranteed.
All rights in the VoiceX platform and technology, including software, APIs, interfaces, workflows, documentation, designs, trademarks, databases and proprietary systems, are owned by or licensed to VoiceX.
Customer receives only the limited right of use expressly granted under these Terms.
Customer shall not reverse engineer, copy, modify, distribute, sublicense or commercially exploit VoiceX technology except as expressly permitted in writing by VoiceX.
Nothing in these Terms transfers ownership of VoiceX intellectual property to Customer.
Each party shall protect the other party's Confidential Information using reasonable care and shall not disclose it except as permitted under these Terms or Applicable Law.
Confidential Information includes non-public technical, security, commercial, operational, financial and business information.
Confidentiality obligations do not apply to information that:
Where legally permitted, the receiving party should provide reasonable notice before a compelled disclosure.
Customer shall defend, indemnify and hold harmless VoiceX, its affiliates, directors, officers, employees, contractors and service providers from and against claims, losses, penalties, fines, damages and reasonable legal expenses arising from or relating to:
This does not transfer to Customer any liability that cannot lawfully be transferred or that is finally determined to have resulted solely from VoiceX's wilful misconduct.
To the maximum extent permitted by Applicable Law, VoiceX, its affiliates, directors, officers, employees, contractors, service providers and representatives shall not be responsible or liable for any loss, damage, claim, cost, expense, liability or consequence arising out of or relating to the Services, including any:
VoiceX shall not be responsible for the acts, omissions, negligence, fraud, misconduct or regulatory violations of Customer or any Authorised User, reseller, agent, employee, contractor, subscriber or downstream user.
Customer acknowledges that it is solely responsible for its use of the Services and for all communications, content, data, campaigns, calls, messages, recordings, integrations and activities conducted through its Account.
To the maximum extent permitted by law, VoiceX's total aggregate liability for all claims arising out of or relating to the Services, these Terms or any related agreement shall not exceed the lower of:
The above limitation shall apply regardless of the number of claims, causes of action, events or circumstances giving rise to such claims.
Customer acknowledges that the Fees charged for the Services reflect the allocation of risk and the limitations of liability contained in these Terms.
Nothing in these Terms shall exclude or limit any liability to the extent such exclusion or limitation is prohibited by Applicable Law.
VoiceX may suspend or terminate the Services where:
VoiceX may act immediately where the issue is serious, unlawful, security-related, fraudulent or incapable of cure.
For a curable contractual breach that does not require immediate action, VoiceX may provide a reasonable opportunity to cure.
Upon termination:
Termination does not affect rights, obligations or liabilities that accrued before termination.
Provisions concerning payment, intellectual property, confidentiality, Customer obligations, indemnity, limitation of liability, security, governing law, dispute resolution and any other provisions which by their nature should survive shall survive termination.
These Terms are governed by the laws of India.
The parties shall first attempt to resolve disputes through good-faith discussions after written notice of the dispute.
If a dispute cannot be resolved within 30 days, either party may pursue available legal remedies.
Where arbitration is agreed to be applicable under a separate written agreement, it shall be conducted under the Arbitration and Conciliation Act, 1996, as amended from time to time.
Subject to Applicable Law and any separate agreement, courts having competent jurisdiction in Faridabad, Haryana, India shall have jurisdiction.
Neither party may assign this Agreement without the other party's consent, except where permitted in connection with a merger, acquisition, corporate reorganisation or transfer of substantially all relevant assets.
If any provision is held invalid or unenforceable, the remaining provisions shall continue in effect.
Failure to enforce a provision immediately does not constitute a waiver.
These Terms, together with applicable Order Forms, pricing, Service-specific terms, SLA and Privacy Policy, constitute the entire agreement concerning the Services.
VoiceX shall not be liable for delay or failure caused by circumstances beyond its reasonable control, including:
VoiceX may modify, suspend or discontinue a feature where required by changes in law, regulation, telecom-provider requirements, security requirements or third-party dependencies.
Where reasonably practicable, VoiceX will take reasonable steps to restore affected Services following such an event.
